Welcome to AI-Studio, Adcore's AI-powered creative platform for generating and reviewing advertising creative assets ("AI-Studio" or the "App"). By using AI-Studio, you acknowledge that you have read, understood, and agreed to these Terms of Use ("AI-Studio Terms" or the "Terms"). If you do not agree, please do not use the App.
Access to AI-Studio requires account registration and completion of the applicable verification process, including Know Your Customer (KYC) requirements as determined by Adcore. Account approval is at Adcore's sole discretion. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. We reserve the right to reject any application for any reason, even after an invitation has been sent or an account has been created.
AI-Studio uses advanced artificial intelligence (AI) models to assist you in generating and reviewing advertising creative assets, including text, images, video, and designs ("Outputs").
AI-Studio utilizes third-party AI models and service providers to generate Outputs. By using the App, you acknowledge and consent to the transmission and processing of your inputs and content by such third-party providers for the sole purpose of generating Outputs. Adcore does not control the underlying AI models and is not responsible for any processing performed by third-party AI providers. Your use of the App is also subject to the applicable terms of use and policies of the relevant third-party AI service providers. By using AI-Studio, you acknowledge that the processing of your inputs by such providers is governed, in part, by their respective terms and conditions, and Adcore makes no representations or warranties with respect thereto.
All Outputs are provided strictly "AS IS" and "AS AVAILABLE." While Adcore strives for high product quality, there is no guarantee or commitment of 100% accuracy, completeness, or fitness for any particular purpose. AI technology is inherently probabilistic; results may vary and may contain inaccuracies. Without limiting the foregoing, Adcore does not warrant that Outputs will be error-free, consistent, non-infringing, or compliant with any specific legal, regulatory, or platform requirements. Exact or perfect replication of original assets, brand elements, or reference materials cannot be guaranteed; variations, deviations, or inconsistencies may occur in AI-generated Outputs. Additionally, Adcore cannot guarantee the accuracy of product representations or voice synthesis, particularly in non-English languages. Even if you provide reference images or voice samples, the final Output may not be identical to your uploaded material, and variations may occur. For the avoidance of doubt, please note that AI-generated assets are subject to the inherent probabilistic nature of AI technology. Consequently, if an output does not meet your specific quality expectations or instructions, this does not entitle you to a refund. By using the service, you acknowledge that such variations are an inherent part of the AI process.
Where Outputs include AI-generated representations of people, faces, voices, or likenesses, the User acknowledges that such representations may differ from real-life appearances or evolve during the AI generation process. The User agrees that no claims shall be made against Adcore, whether by the User or any third party, in connection with such differences. Any claim or demand relating to variations or lack of full alignment with the depicted individual's actual appearance shall be the sole responsibility of the User, and Adcore shall bear no liability in connection therewith.
You are solely responsible for reviewing, verifying, and approving all Outputs before use. AI-Studio does not perform any human review or quality assurance on your behalf. Each step in the creative process requires your input and approval. The final product, in its entirety, is subject to your human oversight. If you require editorial or compliance review, it is your responsibility to arrange it independently. Adcore, the App, and the underlying AI models bear no liability for Outputs used without adequate human oversight. The User is solely responsible for ensuring that the use of Outputs complies with any internal policies, contractual obligations, regulatory requirements, or other restrictions applicable to the User, including any limitations on the use of artificial intelligence.
Your use of AI-Studio is subject to the AI-Studio Content Guidelines, which are incorporated herein by reference and form an integral part of these Terms. The Content Guidelines set forth the permitted uses, prohibited content, user responsibilities, AI-generated content standards, and enforcement procedures applicable to all Content created through the App. Violation of the Content Guidelines shall be deemed a violation of these Terms.
User Content. You retain ownership of content you upload. By uploading, you grant Adcore a limited license to process it solely for providing the Services. You warrant that you hold all necessary rights to any uploaded content.
Adcore Background IP. Adcore retains all right, title, and interest in and to its pre-existing intellectual property, including its methodologies, tools, templates, processes, software, design systems, AI workflows, and creative techniques ("Background IP"). Nothing in these Terms shall be construed as transferring ownership of Adcore's Background IP to the User.
AI-Generated Outputs. To the extent permissible under applicable law, Adcore assigns to you any rights it may hold in Outputs generated through your use of the App. However, Adcore makes no representation regarding the protectability, originality, or non-infringement of AI-generated Outputs. AI-generated images, video, and text may inadvertently resemble existing protected works. You assume full responsibility for verifying that Outputs do not infringe third-party rights before use.
AI Model Limitations. Similar inputs by different Users may produce similar Outputs. Adcore does not guarantee uniqueness or exclusivity of any Output.
Third-Party Content. Outputs may incorporate music, sound elements, fonts, or other content sourced from third-party licensed libraries. Such elements are subject to the applicable license terms of the relevant provider. Where the User requests specific content outside of the standard licensed libraries available within the App, such content may be subject to additional fees or restrictions.
Portfolio and Promotional Use. The User grants Adcore an irrevocable, perpetual, royalty-free right to display Outputs and reference the User's name and logo in Adcore's portfolio, website, presentations, case studies, and promotional materials, in any media.
AI-Studio operates on a subscription model. Plans are tiered by the number of Brands managed within the App, with each plan including an allocation of Credits, a Brand limit, and a Seat (authorized user) limit. Current plan details, including available tiers, pricing, Credit allocations, and feature comparisons, are published on the AI-Studio website and within the App, and may be updated by Adcore from time to time. By subscribing to a plan, you agree to the terms applicable to that plan as published at the time of subscription.
Credits are the unit of consumption for all AI operations. Credits are consumed from your Wallet within the App each time an AI operation is performed. Credit consumption varies by interaction type, complexity, size, quality and AI model used. Unused subscription Credits expire at the end of each billing cycle and do not roll over to subsequent periods. All Credits are non-refundable and will not be reimbursed upon expiration, account termination, or cancellation for any reason. Additional Credits may be purchased during a billing cycle through the App and are valid for 12 months; pricing for additional Credits is published within the App and may be updated by Adcore from time to time.
AI-Studio includes a digital Wallet that holds and tracks your Credit balance ("Wallet"). Credits included in your subscription plan, as well as any additional Credits purchased through the App, are deposited into and consumed from your Wallet.
Wallet Balance. Your Wallet displays your current Credit balance. A sufficient Credit balance is required to perform AI operations. If your Wallet balance is insufficient, you will not be able to generate Outputs until additional Credits are obtained through your plan allocation or purchased separately.
Non-Transferability. Credits held in the Wallet are non-transferable between accounts and may not be exchanged, sold, or converted to cash or any other form of value.
Expiration. Credits are subject to the expiration terms set forth in Section 5.2. Expired Credits are automatically removed from your Wallet balance.
Fees are billed monthly or yearly at the start of each cycle. All plans are renewed automatically. You may change plans (upgrade or downgrade) once per billing cycle. Upgrades take effect immediately (pro-rated); downgrades take effect next cycle. Cancellation must be initiated before cycle-end to avoid the next charge; unused Credits are forfeited and non-refundable. All payments in USD; applicable taxes are the User's responsibility.
Adcore may terminate your account or cancel your subscription at any time, for any reason or no reason, upon written notice (including by email or in-App notification). Upon such termination, no further charges will apply from the next billing cycle. Adcore shall, at its sole discretion, either (i) issue a pro-rata refund or credit for any prepaid, unused Credits remaining in the User's account, or (ii) allow the User a reasonable period to utilize such remaining Credits before the account is closed.
Adcore may immediately suspend or terminate your account, without prior notice, if you: (a) fail to pay any fees when due; (b) breach these Terms, the Content Guidelines, or the Adcore Marketing Cloud Terms of Use; (c) engage in fraudulent, abusive, or illegal activity; (d) use the App in a manner that poses a security risk or may cause harm to Adcore, other users, or third parties; (e) become subject to sanctions, insolvency proceedings, or any event that materially impairs your ability to perform your obligations; or (f) initiate a payment dispute or chargeback with a financial institution that bypasses the in-App dispute mechanism.
Without limiting Adcore's rights under Section 7.2, if any payment is overdue, Adcore may suspend your access to the App until the outstanding balance is paid in full. During suspension, your data will be retained for a reasonable period, but Credits will not accrue and existing Credits may not be used. If payment is not received within thirty (30) days of suspension, Adcore may terminate your account.
Upon termination: (a) your right to access and use the App ceases immediately, subject to any continued-use period granted under Section 7.1; (b) where termination is for cause (Section 7.2) or due to non-payment (Section 7.3), all unused Credits are forfeited and non-refundable; (c) any outstanding fees remain due and payable; (d) you are solely responsible for exporting and downloading any Outputs, content, or data from the App prior to the effective date of termination - Adcore has no obligation to retain, store, or make available any User data or Outputs following termination; and (e) Adcore may delete your account data after a retention period in accordance with company policy, subject to applicable law, and shall bear no liability for any loss of data resulting from such deletion. Termination does not relieve either party of obligations accrued prior to the effective date of termination, including indemnification and limitation of liability.
Payment disputes must be initiated by contacting Customer Support by emailing aistudio@adcore.com. Initiating a payment dispute or chargeback directly with a payment processor (e.g., credit card company or bank) that bypasses the in-App dispute mechanism constitutes a material breach of these Terms. In such an event, Adcore reserves the right to immediately suspend or terminate the User's account, forfeit any remaining Credits, and pursue any legal rights or remedies available to it.
Adcore collects, processes, and uses information and data submitted by Users through the App, including account details, payment information, usage data, and Content inputs, in accordance with the Adcore Privacy Policy, which is incorporated herein by reference. By using AI-Studio, you consent to the collection and processing of your information as described in the Privacy Policy. Without limiting the generality of the foregoing, you acknowledge that your inputs, prompts, and Content may be transmitted to and processed by third-party AI service providers for the sole purpose of generating Outputs, as further described in Section 2.2. Third-party AI models integrated into the App are accessed via paid commercial API or subscription-based arrangements. While such arrangements generally include terms restricting providers from using customer data for model training, Adcore cannot guarantee third-party compliance with such terms. For any questions regarding data privacy, please refer to the Privacy Policy or contact Adcore's privacy team as specified therein.
(a) AI-Studio is provided as a self-service SaaS platform. Adcore's role is limited to providing the underlying technology and infrastructure; Adcore does not direct, control, or review the User's content creation activities.
(b) Users shall not upload or input through the App any sensitive personal information, including health data, financial account details, government-issued identification numbers, or data relating to minors.
(c) Where Content includes media depicting identifiable individuals, the User represents and warrants that all necessary consents, licenses, and releases have been obtained, including for AI processing by third-party service providers. Adcore bears no responsibility for verifying such authorizations, and the User shall indemnify Adcore for any claims arising from unauthorized use of any individual's likeness.
(d) To the extent required by applicable data protection law, a Data Processing Agreement is available upon request.
AI-Studio is provided "AS IS" without warranties of any kind. Adcore disclaims all warranties, express or implied, including merchantability, fitness for purpose, accuracy, and non-infringement. Adcore shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of AI-Studio, the accuracy or nature of Outputs, actions taken by third-party platforms, or any service interruptions caused by third-party AI providers, infrastructure outages, or events beyond Adcore's reasonable control. To the fullest extent permitted by law, Adcore's aggregate liability shall not exceed the fees paid by you to AI-Studio during the one (1) month preceding the relevant claim.
Any claim or cause of action arising out of or relating to AI-Studio must be commenced within one (1) year after the cause of action arises; otherwise, such claim shall be permanently barred.
You agree to indemnify and hold Adcore harmless from all claims arising from your use of AI-Studio, any content you create or distribute, or any violation of these Terms or applicable law.
Non-Transferability. Subscriptions are non-transferable and intended for internal business use only. Sublicensing or reselling access is prohibited.
Changes to Services. Adcore may modify, suspend, or discontinue any aspect of AI-Studio at any time, including features, AI models, and Credit costs.
Governing Law. These Terms are governed by the laws of the State of Israel, subject to the exclusive jurisdiction of the courts of Tel Aviv. Adcore may, at its discretion, bring claims in the courts at your domicile.
Severability. If any provision is held invalid, the remaining provisions remain in effect.
Entire Agreement. These AI-Studio Terms, together with the Adcore Marketing Cloud Terms of Use and Privacy Policy, constitute the entire agreement regarding AI-Studio.
Amendments. Adcore may amend these Terms at any time. Continued use constitutes acceptance.
